User Submissions
The Website/App allows you to submit images, photographs, and other messages and materials (” Submissions”) as well as to post, share and publish such Submissions. Regardless of whether such Material is posted or not, we do not guarantee the confidentiality of any Submissions. By submitting any of your Material to the Website/App, you grant us the right to publicize your Submissions by posting them online and using them to promote the Website/App. All images used are the property of the respective photographers and will not be used except as permitted by these Terms and Conditions. All images will be used solely in the context of promoting battles and the Website/app, at our sole discretion and without additional compensation to Users. battles held on the Website/App may have additional conditions of participation. Users always retain all copyright to all images they submit.

You are solely responsible for your materials and the consequences of posting or publishing them. In connection with your Submissions, you represent, affirm, and warrant that you own or have the necessary licenses, rights, and written permissions to use and authorize us to use all proprietary rights in the Website/App and these Terms and Conditions. You retain all of your ownership rights in the materials you submit. However, by providing Submissions to us, you hereby grant us a worldwide, non-exclusive, royalty-free, transferable license to display the content to other Users and visitors. With respect to material that you submit or make available in the public domain, the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such material is hereby granted to us solely for the purpose of providing and promoting the specific file for which such material was submitted or made available. This license exists only for as long as you choose to continue to post such Materials on the Website/App and terminates at the time you remove or we remove such Materials from the Website/App. “Publicly accessible” areas are areas that we intend to make available to the general public.

You also agree that you will not:

We reserve the right to remove content or activity and to terminate accounts and Submissions without notice. We will also terminate a User’s access to our Website/App if the User is determined to be an infringer. We also reserve the right to decide whether the Content or Submission is appropriate and in accordance with these Terms and Conditions for non-copyright and intellectual property law violations, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. We may remove such material and/or terminate a User’s access for uploading such material in violation of these Terms and Conditions at any time, without notice, and at our sole discretion.

We allow you to participate in battles, votings, and other activities. Activity decisions are final and binding on all matters relating to the selection of winners. Winners will be selected according to the rules of each activity. All Submissions and votes will be retained until all eligible winners are selected. However, if a Submission or User is deemed unacceptable, it will be removed.

Content.

The content on the Website/app is provided to you for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, shown, sold, licensed, or otherwise used for any other purpose without the prior written consent of the respective owners. We reserve all rights not expressly granted in and to the Website/Application. You agree not to circumvent, disable or otherwise interfere with the security features of the Website/App or features that prevent or restrict the use or copying of any Content or impose restrictions on the use of the Website/App or the Content. The use of any information obtained through the Website/Application is limited to the purposes expressly stated in these Terms and Conditions and is strictly prohibited.

Purchasing a VIP account membership.
You will need to provide us with a credit card to be charged for your VIP account membership. Your membership period will begin at the time of payment. All prices are in U.S. dollars and are subject to change without notice. We may terminate your membership if we are unable to process your payment. You may request termination of your membership at any time by sending an email to vip@your.best and providing clear written notice of such request, including your username and password. All renewal fees are non-refundable, and if you voluntarily or involuntarily terminate, terminate or cancel your membership for any reason, you will not receive a refund for any membership fee previously charged or for any unused portion of your membership status. . In the event that you wish to initiate a membership upgrade, the account will be set to automatically renew the established membership level unless you cancel the auto-renewal setting in the user account settings.

Battles, User Rewards, and Payments
You agree that all of the following terms and conditions will apply to your participation in all photographic and other types of battles on our Website/App:

– All of our battles on the Website/Application will be conducted in accordance with California law (Calif. Bus. & Prof. Code sections 17539-17529.3, 17359.35). This means that all battles are true battles in which at least a majority of the participants cannot win, and all battles will meet the following requirements:

– Yourbest service takes a fee from a battles for bestcoin. The amount of the fee will be shown in the results of each battle.

– The nature of the battle and the number of participants will be disclosed.

– The exact nature of the amount of money won by entrants in each battle will be disclosed.

– The deadline for entries in each particular battle will be disclosed.

– The opportunity to win a prize does not depend on the number of participants.

– We will keep detailed records of each battle for at least one year after all participants receive their wins.

– All rules, terms, conditions, and terms of each battle (if any, in addition to those disclosed in these Terms of Use).

– If there are tie-breaks, the win will automatically be divided equally among the winners of the battle.

– The method of selection, as well as the selection of winners, is determined by the website/App users at their own discretion. The website/App automatically randomly solicits votes from users and determines the winner of the battle based on the number of votes. Upon completion of voting and/or any other method of determining the winner, potential winners will be notified according to the contact information provided in their respective user materials, by mail, courier, email, or other method selected by Yourbest. In order to be confirmed as a winner and to receive a prize, the winning User may receive a request for ownership of the copyright and any other applicable intellectual property and/or other rights in the User Submission (“Required Confirmation”). If a Notice of Winning addressed to a particular Winning User is returned as undeliverable, we will not resend the Notice (in the same or any other manner), investigate the address of the Winning User, or attempt to send any further Notice of Winning, such User will be deemed to have opted out and waived the right to receive Notice of Winning.

– By entering a battle, each User releases and indemnifies Yourbest from and against any and all claims, demands, and liabilities arising out of or in connection with the battle, User’s (and each individual User member’s) participation in the battle and/or any battle-related activity, including, without limitation, the use or misuse of the winning prize or any portion of it. Winners assume full responsibility for any consequences of the use of the prize.

– Battles created by users may be blocked or cancelled by the service in the case of violations of the use of the Website/App.

– If a battle is cancelled (for example, if the required number of participants is not reached before voting), the participants get their balance refunded to the app.

– The Website/App does not bear responsibility for violation of copyrights by the users of the application by participating in the battles or uploading files to the Website/App. In turn, if users complain about a file, the complaint will be reviewed with further removal of the file and consequences for the user who uploaded the file.

– The Website/App can prevent a file from being uploaded to the Website/App, in its sole discretion, if it does not meet the requirements of the Website/App policy or using terms.

– The user of the Website/application can be blocked by the system without explanation if the Website/App notices actions of the user which violate the Website/App policy or using terms.

– The user of the Website/App can be disqualified from participation if the Website/App notices actions of the user which violate the policy or terms and conditions.

– The Website/App reserves the right to make final decisions in disputes and litigation regarding battles, voting, and users’ use of the Website/App.

– Payments from Yourbest to User will be implemented as a PayPal transfer. The user must own a legitimate PayPal account in order to receive payment. To receive the transfer, your registered email in Yourbest must match the email you used when you registered with Paypal.

– We have the right to impose daily/monthly restrictions on withdrawals from your account. The deadline for the transfer is up to 72 hours. If the transfer did not go through within this time, report the problem to the technical support payments@your.best.

– Each party is responsible and will account for any taxes imposed by governments or governing authorities, and related accounting or audit requirements arising out of, as a result of, incidental to, or in connection with obligations under these Terms of Sale.

Rules of participation in a battle

General Rules.

• The user can participate in an already created battle or create a new one if there is no battle on a matching topic.

• Before participating, the user must read the photo requirement for the battle

• The deadline for the collection of participants and the beginning of voting is 72 hours.

• The number of participants in the battle is not limited.

• If there are fewer than three users in the battle before voting begins, the battle is cancelled and users get their funds back in their wallet.

• A user who has signed up for a battle cannot resign from it.

• Participants of the battle cannot see each other’s photos in the battle.

• Users can share the link to a battle and invite their friends.

• The winner of the battle is the one who gets the most votes.

• If there are two or more winners in the battle, the winnings are divided equally between the winners.

• In the case of cancellation of the battle, users get their refunds back to their wallets.

Battles for Bestcoins.

• Participate only photos taken by the camera in Yourbest app.

• To participate in a battle for bestcoins, you need to make an entry deposit (bet), which can range from 1 to 50 bestcoins.

• The winner gets the amount of all entry deposits (Total prize(pot)) deducted the service fee.

• To withdraw bestcoin to paypal, the user needs to collect the required number of coins.

• Withdrawal is possible only to the paypal wallet, which email is the same as the email account in Yourbest.

• Some accounts may have a daily withdrawal limit.

Battle for photocoins.

• Participate photos taken by the camera in Yourbest app and/or uploaded through the phone’s library.

• User can participate in any battle for photocoin. To create a battle for photocoins you must have VIP membership.

• To participate in the battle, you need to spend 1 photocoin.

• The winner of the battle gets 2 photocoins.

Voting

• -The app automatically sends random users an invitation for voting.

• The voting takes exactly as many participants as the number of photos participating in the battle. If the required number of votes has not been received, the system sends an invitation to random users to vote again.

• Users voting in the battle can choose only one photo.

• The winner of the battle is the one who gets the most votes. After the required number of votes is received, the results of the voting are announced.

• Voters receive 1 photocoin only if their chosen photo is the winner of the battle.

• Voting results are calculated as soon as all the necessary votes have been received.

Purchasing and Salling on the Yourbest Website/App

Any user of the website/app can put their photos up for sale by designating us as their photo selling agent. By posting photos for sale, you agree to the Terms and Conditions of Sale set forth below, which will apply from the date you post your first photo for sale:

– You grant us a non-exclusive, royalty-free, transferable, sublicensable license to use your copyrights and/or other intellectual property rights to enable us to perform our assignment under the agency agreement.

– The retail price charged to customers purchasing your product is made up of your desired price plus the service fee charged to the buyer. The fee may vary depending on the digital product being sold and is always specified at the time of purchase.

– You can change the desired price for each product at any time.

– We will notify you via the website/App and/or email when one of your products is sold.

– Users can purchase products from Yourbest using PayPal, Apple pay, Google pay, or a valid credit card. The price you pay is final and non-negotiable. Orders cannot be canceled after the sale. Yourbest reserves the right to cancel an order if we believe it is made in violation of these Terms of Use.

Security

– Login to the App is made by confirming the digital code sent to a registered email address.
– Withdrawal of funds is carried out through confirmation of the digital code sent to a registered email address.
– When uploading photos through the phone, the application automatically verifies the authenticity of the photo according to the information contained in the photo. When a photo is taken in the App, the system requests a short video of the surrounding objects that were captured in the photo.
– User information is stored in encrypted form on the servers of our partners.

Limitation of Liability

You hereby indemnify and undertake to hold Yourbest harmless from and against all claims, debts, bills, expenses, costs, liens, suits, and proceedings of every nature, known or unknown to any person, arising out of the assignment, breach, or default of your obligations under these Terms of Sale or arising out of your willful act, neglect or default in performing such obligations. Your indemnification obligation includes, but is not limited to, any claim brought by any person or entity of Yourbest or any of its members, managers, officers, employees, agents, or affiliates for copyright, trademark and/or infringement of any intellectual property or other rights arising from and/or related to any act or omission, including, but not limited to, with respect to copying, displaying, using, selling or offering for sale or selling any This paragraph shall survive termination of these Terms of Sale.

Indemnification

In no event shall Yourbest, its officers, directors, employees, or agents be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages arising out of the use of Yourbest inc products. The foregoing limitation of liability applies to the maximum extent permitted by law in the relevant jurisdiction. You acknowledge that Yourbest is not responsible for user material or the defamatory, offensive, or illegal conduct of any third parties and that the risk of harm or damage resulting from the foregoing rests entirely with you. The Website is hosted by Yourbest in the United States of America. Yourbest makes no representation that the App is appropriate or available for use in other locations. Those who access or use the site from other jurisdictions do so of their own free will and are responsible for compliance with local laws.

Ability to Accept Terms of Service

You certify that you are over the age of 13, that you are an emancipated minor or have the legal consent of a parent or guardian, and that you are fully capable and competent to accept the terms, conditions, obligations, representations, statements, and warranties set forth in these Terms and Conditions and to abide by and comply with these Terms and Conditions. If you are under 13 years of age, please do not use the Website/App.

Assignment

These Terms & Conditions, including any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by us without restriction.

General

You agree that Yourbest will be treated as a passive website/application that provides no basis for personal jurisdiction over Yourbest, either specific or general, in jurisdictions other than California. These Terms of Use are governed by the internal substantive laws of the State of California, without regard to its conflict of laws principles, and are subject to binding arbitration in accordance with the then current Commercial Arbitration Rules of the American Arbitration Association or the International Dispute Resolution Center conducted in the jurisdiction of the State of California. Any claim or dispute between you and Yourbest that arises in whole or in part in connection with Yourbest’s Website/App shall be resolved exclusively by a court of competent jurisdiction located in San Diego County, California. If any provision of these Terms of Use is found invalid by a court of competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions of these Terms of Use, which will remain in full force and effect. No waiver of any term of these Terms of Use will constitute a further or continuing waiver of such term or any other term, and Yourbest’s failure to assert any right or provision under these Terms of Use will not constitute a waiver of such right or provision. Yourbest reserves the right to change these Terms of Use at any time and without notice, and it is your responsibility to review these Terms of Use for any changes. By continuing to use Yourbest’s Website/App, you automatically agree to all changes to the Website/App Terms of Use. You agree that any claim arising out of or related to Yourbest’s Website/App must be filed within one (1) year after the claim arises or such claim will be forever barred.
